Wholesale Terms

These Wholesale Terms apply to every order placed by a retailer or distributor ("Buyer") with Biostrips Corporation ("Biostrips", "Seller") for SENO products. They are added to our Terms of Service. Submitting an order request means the Buyer accepts these terms.

1. Eligibility and licensing

• The Buyer must hold, and keep current, every federal, state and local license, permit and registration required to buy, store and sell nicotine products, including any tobacco or nicotine retail or distributor license and sales-tax permit.
• The Buyer must give us accurate license details and copies on request, and tell us at once if any license is suspended, revoked or expires.
• We may verify licenses with the issuing authority and refuse or cancel any order if we can't.

2. Orders

An order request is an offer to buy. It's binding on us only when we accept it by sending an invoice. We may refuse, limit or cancel any order, including for licensing, credit, compliance or stock reasons. Minimum order quantities and case sizes are shown on the order page or invoice.

3. Pricing and taxes

Prices are as stated on our invoice and may change before acceptance. Prices exclude shipping and all federal, state and local taxes, including tobacco and nicotine excise taxes, which are the Buyer's responsibility unless the law requires us to collect them. The Buyer must give us valid exemption or resale certificates where they apply.

4. Payment

• Payment is due in full by ACH or wire transfer to Biostrips Corporation's JPMorgan Chase business account, as shown on our invoice, before shipment unless we agree other terms in writing.
• Payment must quote the order number. The Buyer pays its own bank fees.
• Our bank details will never change by email. Before sending payment, the Buyer must confirm our account details by phone at (513) 496-1834. We are not responsible for payments sent to an account other than one confirmed with us by phone.
• Late amounts may accrue interest at 1.5% per month, or the maximum the law allows if lower, plus reasonable collection costs.

5. Shipping, title and risk

We ship only to the Buyer's licensed business address, by a carrier and method that comply with applicable law, which may include adult-signature delivery. Title and risk of loss pass to the Buyer when we hand the goods to the carrier. The Buyer must inspect shipments on delivery and report any shortage or damage within 5 business days, or the shipment is deemed accepted.

6. Returns

Wholesale sales are final. Products that are defective or shipped in error, and reported under Section 5, will be replaced or credited at our option.

7. Buyer compliance obligations

The Buyer agrees to:

• sell SENO only to adults 21+ and verify age as the law requires;
• follow all laws that apply to the storage, display, marketing and sale of nicotine products, including any flavor restrictions, display rules and signage requirements;
• not sell or ship SENO into any place where its sale is prohibited;
• not resell SENO online or by remote sale unless fully compliant with every applicable law, including any age-verification, delivery and reporting requirements;
• not repackage, relabel or alter SENO products or their warnings;
• not make any health, safety, reduced-risk or cessation claims about SENO;
• keep accurate sales records and cooperate with any lawful recall, investigation or regulatory request.

8. Indemnification

The Buyer will defend, indemnify and hold harmless Biostrips Corporation and its officers, directors, employees and agents from all claims, fines, penalties, losses and expenses (including reasonable attorneys' fees) arising from the Buyer's breach of these terms, violation of law, sales to underage persons, or the Buyer's own marketing, storage, handling or sale of SENO products.

9. Warranty and limitation of liability

We warrant that products will conform to their labeled specifications when shipped. EXCEPT FOR THAT WARRANTY, PRODUCTS ARE SOLD "AS IS" AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. OUR TOTAL LIABILITY FOR ANY ORDER IS LIMITED TO THE PRICE PAID FOR THAT ORDER, AND WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL OR LOST-PROFIT DAMAGES.

10. Recalls and regulatory changes

If a regulator requires, or we decide, that products be withdrawn or recalled, the Buyer will stop selling them and cooperate with us. If a change in law or regulatory status prevents us from supplying a product, we may cancel unfilled orders and refund amounts paid for them, without further liability.

11. Regulatory status

SENO products are manufactured for Biostrips Corporation by our manufacturing partner, Shenzhen Xinnuo Technology Co., Ltd. Our manufacturing partner has submitted a Premarket Tobacco Product Application (PMTA) to the U.S. Food and Drug Administration for SENO, submission tracking number 13242366294. The application is currently under FDA review, and no marketing granted order has been issued. Submitting a PMTA does not mean the FDA has authorized, approved or endorsed SENO, or found it safe. Copies of filing documentation are available to licensed Buyers on request. The Buyer is responsible for confirming that it may lawfully sell SENO in its jurisdiction. If the FDA or any other authority takes action affecting SENO's status, Section 10 applies.

12. Trademarks

The Buyer may use SENO trademarks and images only to identify and sell genuine SENO products, following any brand guidelines we provide, and must stop on request.

13. Termination

We may suspend or end sales to any Buyer at any time, including for breach of these terms or a licensing problem. Sections 3, 4, 6, 8, 9 and 14 survive termination.

14. Disputes and governing law

These terms are governed by Ohio law. Any dispute will be resolved exclusively in the state or federal courts in Hamilton County, Ohio, and each party consents to that jurisdiction and waives any jury trial to the extent permitted by law.
